Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Askive ("we," "us," or "our") governing your access to and use of the Askive platform, including all associated services, features, content, and applications (collectively, the "Service").

By registering for an account, accessing the Service, or clicking a button indicating acceptance, you agree to be bound by these Terms. If you are accepting on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes. We will notify registered users of material changes by email.

Askive is an AI-powered archive platform that allows users to capture, store, and query documents and information using natural language. The Service enables users to upload files, photos, and other content which is processed, indexed, and made searchable through conversational queries.

Askive is intended for lawful use by individuals, employees, freelancers, and businesses of all sizes. The Service may be used for personal, professional, or organizational purposes. It is not intended to serve as a primary backup or archival system for critical records.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will provide at least 30 days notice before discontinuing a paid feature that users rely upon.

To access most features of the Service, you must register for an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You may register using your email address or through single sign-on (SSO) via our identity provider, Logto, using a third-party account such as Google. When you sign in with a third-party account, your relationship with that third party is governed by its own terms and privacy policy, and you authorize us to receive the account information it shares with us.

You must promptly notify us of any unauthorized access to your account at hello@askive.app. We are not liable for any loss or damage arising from your failure to protect your account credentials.

You may not create accounts for the purpose of abuse, circumventing usage limits, or collecting information about other users. We reserve the right to terminate accounts that violate these Terms without prior notice.

Askive offers a Free plan (including up to 30 Memories and all Askive features) and an Unlimited plan ($12/month) that removes the memory cap. All features — uploads, camera, email forwarding, Google Drive, Dropbox, and AI conversation — are available on every plan. The only difference is memory capacity.

All paid subscriptions are billed in advance on a monthly or annual basis. Prices are stated in US dollars and are subject to applicable taxes. We reserve the right to change pricing with 30 days advance notice to existing subscribers.

Refunds are handled on a case-by-case basis. If you believe you are entitled to a refund, please contact us at hello@askive.app within 14 days of the charge. We do not offer refunds for partial billing periods or unused features.

If your payment fails, we will attempt to recharge your payment method for up to 7 days. After that period, your account may be downgraded or suspended until payment is resolved.

You retain all ownership rights in the content you submit to Askive ("User Content"), including documents, photos, files, and any other materials. By uploading User Content, you grant Askive a limited, non-exclusive license to store, process, and analyze that content solely for the purpose of providing the Service to you.

We do not claim any ownership over your User Content. We do not use your content to train AI models that serve other users. Your documents, records, and private information remain yours.

You are responsible for ensuring that you have the right to upload and store any content you add to Askive. You must not upload content that infringes third-party intellectual property rights, violates privacy laws, or contains materials you do not have authorization to share.

Upon account deletion, we will delete your User Content within 30 days, except where we are required to retain data by law. You may request export of your data at any time by contacting us.

Askive supports connections to external document storage providers ("Connected Sources") such as Dropbox, which allow you to build your archive from files stored outside Askive.

Your use of Askive must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you may not use the Service to store or process illegal content, engage in fraud, harm others, or circumvent platform safeguards.

We reserve the right to remove content and suspend accounts that violate our Acceptable Use Policy. For serious violations, we may terminate accounts immediately without refund.

Askive uses artificial intelligence to process and respond to queries about your stored content. While we work to ensure accuracy, AI-generated answers may occasionally contain errors, omissions, or misinterpretations of source material.

AI responses are provided for informational purposes only and should not be relied upon as legal, financial, medical, or professional advice. Always verify critical information against the original source document before acting on it.

We are not liable for decisions made based on AI-generated responses from the Service.

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

The Askive platform, including its software, design, trademarks, logos, and all content created by us (excluding User Content), is owned by Askive and protected by applicable intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. You may not reverse-engineer or attempt to extract source code from any part of the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee that AI-generated responses will be accurate or complete. You use the Service at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASKIVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

You may cancel your account at any time from your account settings. Upon cancellation, your access to the Service will continue until the end of the current billing period, after which your account will be deactivated.

We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk to other users or the platform.

Upon termination, we will retain your User Content for up to 30 days to allow for data export requests, after which it will be permanently deleted.

These Terms are governed by and construed in accordance with the laws of the State of Louisiana, United States, without regard to its conflict of law provisions. The parties agree that the exclusive venue for any disputes arising under these Terms shall be Bossier Parish, Louisiana. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after notice of changes constitutes acceptance of the updated Terms.
